General terms of use and subscription
These terms govern the use of Fiducio by businesses and other professional customers and by their users. They are accepted at sign-up and upon each new version (sections 20 and 23).
The entire site is backed up every day. Daily backups are hosted by default at Infomaniak (destination configurable by the operator) and kept for 7 days. They are encrypted by default; an unencrypted backup is produced only upon an explicit decision of the operator. Data entered since the latest backup may be lost in an incident; we are not liable for it. Export your data regularly.

1. Purpose and business customers
Fiducio is online software for collecting documents for fiduciary firms (client files, document lists by fiscal year, uploads, missing items, reminders and messages). It provides no legal, tax or accounting advice and does not replace accounting. The functions available depend on the company’s plan and may change. The service is reserved for professionals (businesses, self-employed persons, associations and public bodies) who use it for their professional or commercial activity; it is not intended for consumers. By signing up, the client confirms that it acts for professional purposes. The operator may terminate with immediate effect the contract of a person who signed up for private purposes. Mandatory provisions protecting consumers remain reserved.
2. Account and access
The client appoints an administrator and users. It is responsible for keeping credentials confidential, for actions carried out with its accounts and for revoking its staff’s access. An account is reserved for persons within the client’s organisation; it may not be shared with third parties. Any abusive or suspicious use must be reported without delay.
3. Plans, prices and payment
The plans, prices and limits shown on the pricing page at the time of subscription apply. Paid subscriptions are paid in advance through the payment provider Stripe and renew automatically until cancelled. Amounts already paid are not refunded, not even pro rata. The service is reserved for professionals and starts upon payment: there is no right of withdrawal, except with the RETRACT code under section 30. Cancellation is possible at any time, without refund of the current period. The operator may change prices and limits; any change unfavourable to the client is announced at least 30 days in advance by e-mail to the administrator and in the application, and applies only from the next period. A client who does not accept it may cancel before that date (section 15) and then never pays the new price. A subscription may be offered by the operator, for a limited or unlimited period, and ends according to the rules stated in the offer.
4. Client obligations
The client is solely responsible for the data it enters and the documents it issues: identity of the parties, amounts, VAT rates and number, legal mentions, QR references and payment data, deadlines, sending to recipients. It checks each invoice before finalising and sending it. It complies with applicable law, in particular tax law (VAT), commercial law and the data protection of its own customers, for whom it is the controller.
5. Client content
The client is solely responsible for the data, texts, documents and files it enters, imports or transmits through the application (in particular clients, invoices, quotes, templates, logos, images and e-mails), and for their accuracy, lawfulness and the necessary rights, in particular the data protection of its clients, debtors and principals. The operator does not check this content and assumes no liability for it, within the limits of mandatory law; it may delete or block any content that is manifestly unlawful or reported as such. The client holds the operator harmless from any third-party claim related to this content (see also section 13, Indemnity).
6. Statutory retention
Invoices and accounting records must be kept by the client for the statutory period (in principle ten years, art. 958f CO). Fiducio facilitates this retention but does not assume the obligation: the client keeps its own copies (PDF, CSV and ZIP exports) on media under its control.
7. Backups
The entire site — database and files of all companies (documents, PDFs, images) — is backed up automatically every day. Daily backups are hosted by default at Infomaniak; the operator may set another destination. They are kept for 7 days, then deleted. They are encrypted by default. An unencrypted backup is produced only upon an explicit decision of the operator. In the event of an incident, outage, error or attack, data is restored to the state of the last available backup. Data entered, modified, imported or received since that last backup may be permanently lost. To the fullest extent permitted by applicable law, the operator is not liable for such loss or its consequences; it is for the client to re-enter the data concerned and to make its own exports as often as its business requires. Backups serve to restore the service as a whole; they are not an archive available to the client, and the operator is not obliged to restore a single company’s data or an earlier version of a document separately. Backups are a security measure of the operator; no commercial presentation of the service (in particular “reliable”, “secure” or “hosted in Switzerland”) guarantees that no data will be lost.
8. Availability, interruptions and maintenance (best effort)
Bugs, malfunctions, interruptions and downtime of the service, whether planned or not, are handled by the operator on a best effort basis (obligation of means): the operator makes no commitment as to availability, availability rate, response time or resolution time, and assumes no obligation of result. Fixes and restorations are carried out as quickly as reasonably possible, without a set deadline. Maintenance, updates, technical incidents or security interventions may temporarily interrupt all or part of the service; planned maintenance is announced in advance where possible. Except where mandatory law provides otherwise, interruptions and bugs give no right to any compensation, credit or refund. After an incident, data is restored from the backups described in section 7. Support and bug resolution are governed by section 9 and the operator’s liability by section 11; liability for unlawful intent and gross negligence (art. 100 para. 1 CO) is reserved.
9. Support and bug resolution (best effort)
Bugs and other problems (defects, incidents, support requests, including defects detected automatically by the application) are resolved on a best effort basis: the operator endeavours to remedy them as quickly as reasonably possible, without a set deadline, according to their nature and the resources available, without any guarantee of result, timing or availability. Unless otherwise agreed in a separate written agreement, no service level and no time for acknowledgement, response, correction or resolution is guaranteed, and no obligation of result is assumed for the resolution of a ticket.
10. Security and data leaks
The operator implements reasonable security measures (encrypted connections, access control, logging, encrypted daily backups). As no system is fully safe from attacks, errors or failures, a leak, loss of or unauthorised access to data can never be ruled out. To the fullest extent permitted by applicable law, the operator is not liable for it, except in case of intent or gross negligence. In the event of a data security breach, it informs the client as soon as possible.
11. Exclusion and limitation of liability
To the fullest extent permitted by mandatory law, the operator disclaims all liability, whatever its cause or nature, in particular for direct or indirect, consequential or immaterial damage, loss of data (including between two backups), profit, customers or business, interruptions, delays or errors of the service, calculation, numbering, VAT or content errors in documents, undelivered e-mails, content entered by the customer and acts of third parties (host, payment provider, e-mail provider, banks, cyberattacks), as well as for its auxiliaries (art. 101 para. 2 CO). If the operator is nevertheless liable, its liability for all damage in a calendar year is limited to the fees actually paid by the customer in the twelve months preceding the damaging event, and to zero for a free or complimentary plan. Liability for intent and gross negligence (art. 100 para. 1 CO) and the other mandatory provisions remain reserved, in particular in case of injury to life, body or health and under the Federal Product Liability Act (PrHG/LRFP). Any claim must be notified in writing within 60 days of becoming aware of the damage; a calculation, numbering or VAT error in a document discovered only when the accounts are closed may be reported within six months of the document’s issue. Force majeure is governed by section 27.
12. Service provided as is
The service is provided “as is” and “as available”, with no warranty that it is error-free or fit for a particular purpose. Commercial pages, documentation and advertising describe the service; they are neither a warranty nor a commitment to a result, and only these terms are authoritative. The operator may develop, restrict or withdraw functions and suspend access without notice in case of security risk, abuse or non-payment. It may use subcontractors of its choice (hosting, payment, e-mail, bot protection), in accordance with section 26.
13. Indemnity
The client indemnifies and holds the operator harmless from any claim, fine, cost and expense, including reasonable legal fees, from its customers, authorities or other third parties in connection with documents issued, data processed or the use of the service by its users, or with a breach of these terms.
14. Electronic acceptance by customers
Online acceptance of an invoice is a simple electronic acceptance with time-stamped proof. It is not a qualified electronic signature within the meaning of ZertES; the client assesses for itself whether it meets its needs.
15. Cancelling the subscription
The customer may cancel a paid subscription at any time in the application (Subscription → “Cancel my subscription”, in two clicks) or from the payment portal. The cancellation takes effect at the end of the period already paid; until then, access remains complete. Amounts paid are not refunded, neither in full nor pro rata for the remaining period. The cancellation can be withdrawn until the end date. It is confirmed by e-mail. At the end of the period, access is closed and the data are kept for thirty days, then deleted under section 16.
16. Deleting the account and the data
A user may request the deletion of their account, and an administrator that of the whole company, from the application (My account and security → Personal data); the operator carries out the request after verifying who made it. Access is then closed and all sessions are ended. An archive of the data is kept offline during a grace period of fourteen days (adjustable by the operator between 1 and 90 days); during this period the account can be restored on request to the operator. At the end of the period, the data and the archive are permanently deleted, with no possible restoration; they may remain in the backups until their normal rotation. The customer first exports the invoices and records it is required to keep (section 6). The operator keeps for ten years its own accounting records relating to the subscription (plan, payments, payment identifiers), a minimal trace of the closure (account name, dates, requester) and its security logs according to their retention period. No amount paid is refunded.
17. Termination by the operator
The operator may decide not to renew the contract and end it at the end of the paid period, without notice; access to exports remains open for a reasonable period after the end of the contract. In case of abusive use or use contrary to these terms (in particular the prohibited uses of section 24, fraud, harm to security, illegal content or non-payment), the operator may, depending on the seriousness, issue a warning, suspend all or part of the access or terminate the contract with immediate effect; in case of a security risk or a manifest breach of the law, it may act without prior warning. Amounts due remain due and no refund is owed, subject to mandatory law.
18. Transfer of operation
The operator may at any time transfer, in whole or in part, the operation of the service, this contract and the data needed to continue it to another entity, in particular an affiliated company or an acquirer (sale, merger, reorganisation). The customer consents to this now (anticipated assignment of the contract). The customer is informed by e-mail or by a notice in the application, where possible at least 30 days in advance. The acquirer takes over the operator’s obligations, in particular regarding data protection (nFADP). If the acquirer moves the hosting of the data outside Switzerland or materially lowers their level of security, the client may terminate the contract with immediate effect and export its data; by way of exception to section 15, the unused part of the period already paid is then refunded.
19. Operator access to data
For support, security and legal compliance, the operator may view customers’ data through a dedicated administration account. Such access is limited to what is necessary, every view is logged (date, company, item viewed) and this log cannot be changed or deleted from within the application.
20. Changes to the terms
The operator may change these terms. Any material change is announced at least 30 days before it takes effect, by e-mail to the administrators of the client companies and by a notice in the application; the new version, its effective date and the previous versions are published on this page. A purely editorial change, or one required by law or by an authority, may take effect earlier. A client who refuses a change may cancel its subscription before the effective date; the cancellation takes effect at the end of the period already paid and the previous terms continue to apply until then. The new version is accepted by the company’s administrator in the application (section 23); failing that, continued use after the effective date constitutes acceptance.
21. Governing law and jurisdiction
Swiss law applies, excluding its conflict-of-laws rules. Subject to mandatory jurisdictions, the exclusive place of jurisdiction is the operator’s registered office stated in the legal notice.
22. Partial invalidity
If a clause, in particular a limitation of liability, is held void or unenforceable, it is replaced by the valid clause closest to the parties’ intention, in particular by the broadest limitation of liability permitted by applicable law; the other clauses remain in force.
23. Acceptance and proof
These terms are accepted at sign-up by means of a mandatory checkbox and then, upon each new version, by the company’s administrator in the application. Each acceptance is recorded with the company, the user, the version, a digital fingerprint (SHA-256) of the accepted text in the four languages, the date and time and the masked IP address. This record is binding between the parties, unless proven otherwise. All published versions remain available on this page.
24. Prohibited uses
It is prohibited to use the service to send unsolicited messages (spam), to commit or facilitate fraud, in particular tax fraud, to issue fictitious or misleading documents, to impersonate others, to process unlawful content, to circumvent the plan’s limits or the security measures, to copy, mass-extract or decompile the software, to share an account outside the client’s organisation, or to overload the service deliberately. In case of breach, the operator proceeds in accordance with section 17.
25. Data ownership and reversibility
The client remains the owner of its data and documents. It grants the operator, for the term of the contract and then for the grace period and the rotation of backups, a non-exclusive, royalty-free licence limited to what is necessary to host, process, back up, secure and transmit these data in order to provide the service and comply with the law; the operator uses them for no other purpose. Throughout the term of the contract, including on the free plan, the client may export its data in common formats (CSV, JSON, PDF and a complete ZIP archive); after the account is closed, during the grace period, by requesting its restoration (section 16). The operator does not guarantee that these files can be imported into other software.
26. Processing of data on behalf of the client
For the data of clients, debtors and other persons that the client enters in the application, the client is the controller and the operator acts as processor within the meaning of art. 9 nFADP (and, where applicable, art. 28 GDPR). The operator processes these data only to provide the service, in accordance with these terms and with the client’s instructions given through its use of the application; it binds authorised persons to confidentiality, applies the security measures of section 10, informs the client as soon as possible of a data security breach, reasonably assists it in responding to requests from data subjects and deletes the data at the end of the contract under section 16. The client authorises the use of the sub-processors listed in the privacy policy (in particular hosting in Switzerland and e-mail delivery); any new sub-processor is announced under the procedure of section 20, and a client who refuses it may terminate. The data remain hosted in Switzerland.
27. Force majeure
Neither party is liable for failure to perform its obligations caused by an event beyond its reasonable control, in particular natural disaster, war, terrorism, epidemic, decision of an authority, general power or telecommunications failure, major failure of the hosting provider or a cyberattack of exceptional scale. The obligations concerned are suspended for the duration of the event, without compensation. If the interruption lasts more than thirty days, either party may terminate the contract with immediate effect.
28. Language
These terms are drawn up in French, German, Italian and English. In the event of discrepancy between these versions, the French version prevails.
29. Intellectual property
The Fiducio software, its brand, interface, texts and graphic elements are the property of Leologic Sàrl, holder of all intellectual property rights, which also operates the service. The customer receives a non-exclusive, non-transferable right of use, limited to the term of its subscription and to normal use of the service; no other right is assigned. The data and documents entered by the customer remain its property.
30. Payment, cancellation, withdrawal (RETRACT) and promotional codes
Payment — Payments are processed by Stripe; the operator neither receives nor stores card data. If a renewal payment fails, access is kept for a grace period of 7 days and then suspended until payment.
Cancellation — The subscription can be cancelled at any time in My account › Subscription or in Stripe’s customer portal. Cancellation takes effect at the end of the current paid period; access remains complete until that date. The current period is not refunded, except for a withdrawal with the code RETRACT. The subscription can be resumed until the end date.
Withdrawal with the code RETRACT — A customer who signs up with the promo code RETRACT, when it is offered, may withdraw within 30 days of the first payment, from My account › Subscription › Withdraw. That payment is refunded in full to the payment method used, through Stripe; the subscription stops immediately and access ends. Withdrawal is possible only once per customer.
Promo codes — Unless stated otherwise, promo codes are reserved for new sign-ups, for the stated duration, plans, validity period and number of uses. They cannot be combined or exchanged for cash. The operator may deactivate a code at any time; benefits already acquired remain due.
